Agreement and scope
These Terms of Service and Usage Policy (the “Terms”) are between GeoACL LLC, doing business as Rainbow Secure (“Rainbow Secure,” “we,” “us”), and the organization or person accepting them (“Customer,” “you”). By purchasing, subscribing to, accessing, or using the services, you agree to these Terms.
If you accept these Terms for an organization, you represent that you have authority to bind it. Additional terms in an order form, service agreement, data processing agreement, or service-level agreement form part of the agreement.
License and access
During the subscription term, Rainbow Secure grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the services for its internal business purposes and within the purchased plan, user, site, and usage limits.
Customer may not resell, sublicense, rent, share outside its organization, reverse engineer, bypass security controls, or use the services to create a competing product except where applicable law expressly permits it.
Acceptable use and fair use
You must use the platform lawfully and in good faith. You may not attempt unauthorized access; introduce malware; interfere with service integrity; conduct attack simulations without written authorization; use the service to violate another person’s rights; or generate excessive automated traffic that materially harms the service or other customers.
We may investigate suspected abuse and proportionately restrict access when reasonably necessary to protect the platform, customers, or the public. Where practical, we will provide notice and an opportunity to cure.
Customer responsibilities
Customer is responsible for its authorized users, account configuration, lawful instructions, and data submitted to the services. Customer must:
- protect administrator credentials and enable appropriate authentication controls;
- maintain accurate user and billing information;
- configure roles, policies, retention, integrations, and access rules appropriately;
- keep connected systems, endpoints, and WordPress environments updated;
- obtain required notices, permissions, and consents for Customer Data; and
- promptly report suspected misuse or security incidents.
Plans, payment, and taxes
Fees are due in advance on the billing schedule shown in the applicable order. Customer is responsible for applicable taxes other than taxes on Rainbow Secure’s net income. Overdue undisputed amounts may lead to suspension after reasonable notice.
Rainbow Secure may change standard pricing with at least 30 days’ notice, normally effective at the next renewal. Fees are non-refundable except where required by law or stated in a signed agreement.
Support coverage
Standard Support targets an initial email response within 24–48 hours. Premium Support may include 24/7 access through a dedicated support channel, as described in the purchased plan or order form.
Support covers configuration guidance, troubleshooting, and issue resolution within the active plan. Response targets are not resolution guarantees or an SLA unless expressly stated in a signed agreement.
Privacy and Customer Data
Our Privacy Policy explains how Rainbow Secure handles personal information in connection with its websites and services. When Rainbow Secure processes personal data on Customer’s behalf, the parties’ data processing agreement, if applicable, governs that processing.
Customer retains its rights in Customer Data. Customer grants Rainbow Secure the rights reasonably necessary to host, process, transmit, and secure Customer Data to provide the services.
Security and incident response
Rainbow Secure maintains administrative, technical, and organizational safeguards designed to protect the confidentiality, integrity, and availability of the services and Customer Data. No online service can guarantee absolute security.
After confirming a security incident affecting Customer Data, Rainbow Secure will take reasonable steps to contain, investigate, and remediate it and will notify affected customers and authorities as required by applicable law and contractual commitments, without undue delay. Notification timing, content, and recipients may vary by jurisdiction and incident circumstances.
Compliance
Rainbow Secure features may help customers implement controls and collect evidence relevant to frameworks such as SOC 2, HIPAA, GDPR, and others. Customer remains responsible for determining its obligations, configuring the service correctly, and maintaining the policies, processes, and controls required for compliance.
Use of Rainbow Secure does not itself certify or guarantee compliance unless expressly provided under a signed compliance services agreement.
Service availability and changes
Rainbow Secure uses commercially reasonable efforts to target 99.9% service availability. This target is not a binding SLA or service-credit commitment unless included in a signed agreement. Scheduled maintenance will be communicated in advance when reasonably practical.
Availability may be affected by emergency maintenance, internet or third-party failures, Customer systems, force majeure events, or other circumstances outside reasonable control. We may modify the service to improve security, performance, or functionality without materially reducing purchased core functionality during a paid term.
Cancellation, suspension, and termination
Customer may cancel renewal according to its plan or order. Cancellation does not normally provide a refund for a partial billing cycle. Rainbow Secure may suspend or terminate access for material breach, non-payment, unlawful use, or a credible threat to service security.
Except where urgent action is necessary, we will provide notice and a reasonable opportunity to cure. Upon termination, access ends and Customer Data will be handled under the agreement and applicable retention practices.
Disclaimers
To the maximum extent permitted by law, the services are provided “as is” and “as available.” Rainbow Secure disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Security controls reduce risk but do not eliminate it. Results depend on Customer configuration, connected systems, user behavior, threats, and other factors outside Rainbow Secure’s control.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or loss of profits, revenue, goodwill, or data, arising from these Terms.
Rainbow Secure’s aggregate liability arising out of the services will not exceed the fees paid or payable by Customer for the affected services during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.
Changes to these Terms
We may update these Terms as our services, practices, or legal obligations change. We will post the revised version and update the “Last updated” date. When changes are material, we will provide additional notice as appropriate. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
